Agreement Overview
These Terms of Use (“Terms”) are an agreement between you and Nova Tools Pty Ltd (“Nova Tools”, “we”, “us”), a company registered in Australia with its registered office at 680 George Street, Sydney NSW 2000. They govern your purchase of a licence for Nova, our AI assistant app for macOS, and your use of the nova-tools.top website. By completing a purchase, downloading, installing or using Nova, you accept these Terms. If you do not agree with any part of them, please do not purchase or use the product. You must be at least 18 years old to purchase a licence, or have the consent of a parent or guardian.
The Nova Licence
When you pay for Nova, we grant you a personal, non-exclusive, non-transferable licence to install and use the app on Mac computers that you own or control, for your own lawful purposes. The licence covers the version of Nova that we offer at the time of your purchase, together with any updates we provide under the Updates section below. You are buying a right to use the app, not the app itself: the licence stays with you and cannot be given, sold or shared with anyone else. Use that goes beyond your own personal purposes requires a separate licence.
Price and Payment
Nova is sold as a one-time purchase. The price is US$19 per licence, payable once at checkout, and there are no recurring subscription fees. The price shown at checkout is the binding price for your purchase. Where required by law, we add applicable taxes (such as GST) at checkout. Payment is processed securely by our payment processor, and we do not store your full payment card details. After a successful payment you will receive an email with your receipt and licence details.
Refunds
We offer a 14-day money-back guarantee. If you are not satisfied with Nova, contact us at support@nova-tools.top within 14 days of your purchase, quote your order reference, and we will refund the full purchase price to your original payment method — no questions asked. Importantly, nothing in these Terms limits or excludes rights you have under the Australian Consumer Law (the ACL), including the consumer guarantees that apply to our product. Those guarantees cannot be excluded, restricted or modified. If a major failure occurs, you are entitled to choose a replacement or a refund, as well as compensation for any other reasonably foreseeable loss or damage.
What You May and May Not Do
You may: install and use Nova on Macs you own or control; make one backup copy for your own use; and use the app for lawful personal purposes.
You may not: sell, rent, lease, lend or sub-license Nova to anyone; reverse engineer, decompile or disassemble the app, except to the extent expressly permitted by law; remove, obscure or alter any copyright or proprietary notices; use Nova to break the law or to infringe anyone else’s rights; distribute or make copies of the app available to others; or use Nova to provide services to third parties.
Updates
We may, from time to time and at our discretion, release updates, fixes and improvements to Nova. Updates are provided to licence holders at no additional charge while they are available. We are not obliged to support or update any particular version for any particular period. Some features of Nova may depend on online services; we may change, suspend or discontinue those services with reasonable notice where practicable. Updated versions remain subject to these Terms.
Ownership
Nova, including its code, design, documentation, name and branding, is owned by Nova Tools Pty Ltd and its licensors. Your licence does not transfer any ownership or intellectual property rights to you. If you send us feedback or suggestions about the product, you agree that we may use them freely to improve Nova.
Liability
To the extent permitted by law, and subject always to the consumer guarantees under the Australian Consumer Law which cannot be excluded, our total liability to you in connection with Nova and these Terms is limited to the amount you paid for your licence. We are not liable for indirect, incidental, special or consequential loss, or for loss of data or profits, except where such liability cannot be limited by law. Nova is provided “as is”, with all faults, to the extent permitted by law. Nothing in this section limits or excludes any liability that we are prohibited from limiting or excluding by applicable Australian law.
Termination
These Terms apply from the moment you complete your purchase until terminated. We may terminate your licence if you breach these Terms; in that case you must stop using Nova and delete all copies. You may terminate at any time by uninstalling the app. The sections that by their nature should survive — including Ownership, Liability and Governing Law — continue to apply after termination.
Governing Law
These Terms are governed by the laws of New South Wales, Australia, and you and we submit to the non-exclusive jurisdiction of the courts of New South Wales. If you are a consumer, you also have the benefit of any mandatory protections of the law of your place of residence, and nothing in these Terms takes them away from you.
